1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lexshastra Private Limited ("Lexshastra," "we," "our," or "us"), a company incorporated under the laws of India, with its registered office at Flat 5, S No 33/12a, Amrita Heights Chsl, Deccan Gymkhana, Pune, Pune City, Maharashtra, India, 411004.

By accessing or using the Lexshastra platform, including our website at lexshastra.in, our mobile applications, and all related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree with any provision of these Terms, you must not access or use the Platform.

2. Definitions

For the purposes of these Terms:

  • "Platform" refers to the Lexshastra website, web application, mobile applications (Android and iOS), and all related services and APIs.
  • "User" refers to any individual or entity that accesses or uses the Platform, including workspace owners, administrators, and team members.
  • "Workspace" refers to a shared organisational unit within the Platform where Users collaborate on cases, documents, and communications.
  • "User Content" refers to all data, information, files, documents, and materials that Users upload, create, or submit through the Platform.
  • "Subscription" refers to a paid plan that grants access to premium features and functionality within the Platform.

3. Description of Service

Lexshastra is a comprehensive litigation management platform designed specifically for legal professionals in India, including law firms, corporate legal teams, and independent advocates. The Platform provides the following core services:

  • Case Management: Track and manage litigation matters, including case details, party information, hearing schedules, court orders, and case status updates.
  • eCourts Integration: Import and synchronise case data from the eCourts India portal using CNR (Case Number Record) numbers, with automated status monitoring and cause list alerts.
  • Document Management: Store, organise, and share legal documents associated with your cases.
  • Task & Calendar Management: Create tasks, set deadlines, and manage your litigation calendar with integrated hearing date tracking.
  • Team Collaboration: Communicate with team members through built-in real-time messaging, assign tasks, and collaborate on cases within shared workspaces.
  • AI-Powered Research: Access AI-driven legal research tools for case analysis, case law search, and intelligent assistance.
  • Billing & Analytics: Generate insights into your practice with case analytics and reporting features.
  • Contact Management: Maintain a directory of clients, opposing counsel, courts, and other professional contacts.

The Platform is provided as a Software-as-a-Service (SaaS) solution and is accessible through web browsers and native mobile applications.

4. User Accounts

4.1 Registration

To access the Platform, you must create an account by providing accurate, current, and complete information as required during the registration process. You may register using your email address and password, or through supported third-party authentication providers (Google, Microsoft). You are responsible for keeping your registration information up to date at all times.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately at support@lexshastra.in if you suspect any unauthorised access to or use of your account. Lexshastra shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

4.3 Account Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By creating an account, you represent and warrant that you meet these eligibility requirements. The Platform is designed for use by legal professionals and entities engaged in legitimate legal practice.

5. Workspaces & Teams

The Platform operates on a workspace model where Users can create or join organisational units to collaborate on litigation matters. The following terms apply to workspaces:

  • Workspace Owner: The User who creates a workspace is designated as the owner and has full administrative control, including the ability to invite or remove members, manage roles, and configure workspace settings.
  • Team Members: Users who are invited to join a workspace may access shared cases, documents, and communications in accordance with the permissions assigned to their role.
  • Data Ownership: All User Content uploaded to a workspace belongs to the workspace owner's organisation. The workspace owner is responsible for managing access permissions and ensuring compliance with applicable data protection obligations.
  • Member Removal: When a member is removed from a workspace, their access to all workspace data is immediately revoked. Any content they contributed remains within the workspace.

6. Acceptable Use Policy

You agree to use the Platform in compliance with all applicable laws and regulations. You shall not:

  • Use the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
  • Upload, transmit, or distribute any viruses, malware, ransomware, or other malicious code or harmful technology.
  • Attempt to gain unauthorised access to any part of the Platform, other user accounts, or any systems or networks connected to the Platform.
  • Interfere with, disrupt, or place an unreasonable burden on the Platform's infrastructure, servers, or networks.
  • Use automated tools, bots, scrapers, or crawlers to access or collect data from the Platform without our prior written consent.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Use the Platform to send unsolicited communications, spam, or promotional materials to other Users.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform.
  • Sublicense, resell, or redistribute access to the Platform to third parties without our prior written consent.
  • Upload or share content that infringes upon the intellectual property rights of any third party.

We reserve the right to investigate and take appropriate action against any User who violates this Acceptable Use Policy, including suspension or termination of their account without prior notice.

7. User Content & Data

7.1 Ownership

You retain all ownership rights in and to the User Content you upload, create, or submit through the Platform. By using the Platform, you grant Lexshastra a limited, non-exclusive, royalty-free licence to use, store, process, and display your User Content solely for the purpose of providing, maintaining, and improving the Platform's services to you. This licence terminates when you delete your User Content or your account.

7.2 Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you upload to the Platform. You represent and warrant that you have all necessary rights, licences, and permissions to upload and share such content, and that your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights.

7.3 Confidentiality

We understand that the data you store on the Platform may include confidential and privileged legal information. We treat all User Content as confidential and will not access, use, or disclose it except as necessary to provide the Platform's services, comply with our legal obligations, or as otherwise described in our Privacy Policy. We do not use your User Content to train machine learning models or for any purpose unrelated to providing the service to you.

7.4 Data Backup

While we maintain regular backups of Platform data, we recommend that you maintain your own independent backups of critical User Content. Lexshastra shall not be liable for any loss of User Content due to factors beyond our reasonable control.

8. Intellectual Property

The Platform, including its design, user interface, source code, graphics, logos, trademarks, trade names, and all related intellectual property, is owned by Lexshastra Private Limited and is protected by applicable copyright, trademark, patent, and other intellectual property laws of India and international conventions.

Your use of the Platform does not grant you any ownership rights or licence to Lexshastra's intellectual property, except for the limited, non-transferable, non-exclusive right to use the Platform in accordance with these Terms. All rights not expressly granted herein are reserved by Lexshastra.

You may not copy, modify, distribute, sell, or lease any part of the Platform or its content, nor may you reverse engineer or attempt to extract the source code of any software that forms part of the Platform, unless permitted by law or with our prior written consent.

9. Payment & Billing

9.1 Subscription Plans

Certain features of the Platform are available only through paid subscription plans. By subscribing to a paid plan, you agree to pay all applicable fees as specified at the time of purchase. All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

9.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You will be notified before each automatic renewal.

9.3 Payment Processing

All payments are processed securely through Razorpay, our authorised payment gateway. By providing your payment information, you authorise us and Razorpay to charge the applicable fees to your selected payment method. We do not store your credit or debit card details on our servers.

9.4 Refund Policy

Subscription fees are generally non-refundable, except as required by applicable law. If you believe you have been charged in error, please contact us at support@lexshastra.in within 7 days of the charge, and we will review your request on a case-by-case basis.

9.5 Case Slots

Some subscription plans include a limited number of case slots. Additional case slots may be purchased separately. Case slot purchases are non-refundable and are subject to the terms of your active subscription plan.

10. Free Tier & Trial

We may offer a free tier or trial period that provides limited access to certain features of the Platform. The free tier is provided "as is" without any guarantees of availability, functionality, or support. We reserve the right to modify, limit, or discontinue the free tier at any time without prior notice. At the end of any trial period, you must subscribe to a paid plan to continue accessing premium features.

11. eCourts & Third-Party Data

The Platform integrates with the eCourts India portal and other third-party data sources to provide case information services. You acknowledge and agree that:

  • Data retrieved from eCourts and other third-party sources is provided "as is" and may be subject to delays, inaccuracies, or unavailability beyond our control.
  • We do not guarantee the accuracy, completeness, or timeliness of data obtained from third-party sources.
  • The availability of eCourts integration features depends on the eCourts India portal being operational and accessible. Service disruptions on the eCourts portal may affect the Platform's functionality.
  • You are responsible for verifying the accuracy of any case data obtained through the Platform before relying on it for legal proceedings or decision-making.
  • Your use of data retrieved through the Platform must comply with all applicable terms of use and policies of the respective third-party data sources.

12. AI-Powered Features

The Platform includes artificial intelligence (AI) powered features for legal research, case analysis, and intelligent assistance. By using these features, you acknowledge and agree that:

  • AI-generated responses, summaries, and analyses are provided for informational purposes only and should not be treated as legal advice.
  • AI outputs may contain errors, inaccuracies, or omissions. You are solely responsible for verifying the accuracy of any AI-generated content before relying on it.
  • When using AI features, your queries and relevant case context may be processed by third-party AI model providers. We take reasonable steps to minimise the sharing of personally identifiable information with AI providers.
  • AI features are experimental and may be modified, improved, or discontinued at any time.
  • Lexshastra shall not be liable for any decisions made or actions taken based on AI-generated content.

13. Service Availability

We strive to maintain the Platform's availability at all times, but we do not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to scheduled maintenance, updates, security patches, or unforeseen technical issues. We will make reasonable efforts to notify you in advance of planned maintenance windows. We shall not be liable for any loss or inconvenience caused by service unavailability.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@lexshastra.in or through the account settings in the Platform. Upon termination, your access to the Platform will cease, and your data will be handled in accordance with our Privacy Policy. If you have an active subscription, it will not be renewed after termination, but no refund will be issued for any unused portion of the current billing period.

14.2 Termination by Lexshastra

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to breach of these Terms, violation of the Acceptable Use Policy, non-payment of subscription fees, or if we reasonably believe your account poses a security risk. Upon termination, your right to use the Platform will immediately cease.

14.3 Effect of Termination

Upon termination of your account, we will retain your data for a period of 30 days to allow for account reactivation. After this period, your User Content and personal information will be permanently deleted unless retention is required by law. Sections of these Terms that by their nature should survive termination will continue to apply, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXSHASTRA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Lexshastra does not warrant that: (a) the Platform will meet your specific requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Platform will be accurate, reliable, or complete; (d) any errors in the Platform will be corrected; or (e) the Platform is free of viruses or other harmful components.

The Platform is a case management tool and is not a substitute for professional legal judgment. Lexshastra does not provide legal advice, and use of the Platform does not create an attorney-client relationship between you and Lexshastra.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEXSHASTRA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Lexshastra's total aggregate liability for all claims arising out of or relating to these Terms or the Platform exceed the amount you have paid to Lexshastra during the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,000, whichever is greater.

17. Indemnification

You agree to indemnify, defend, and hold harmless Lexshastra, its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any intellectual property or other rights of any third party; or (e) any User Content you upload, create, or share through the Platform.

18. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Before initiating any legal proceedings, the parties agree to first attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days from the date of written notice of the dispute. If the dispute cannot be resolved through negotiation, either party may pursue its rights through the courts as specified above.

19. Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page and notify you through the Platform or via email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.

20. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and Lexshastra regarding the use of the Platform and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of Lexshastra to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Lexshastra may assign its rights and obligations under these Terms without restriction.
  • Force Majeure: Lexshastra shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, power outages, or internet disruptions.
  • Notices: All notices under these Terms shall be sent to the email address associated with your account. Notices to Lexshastra should be sent to support@lexshastra.in.
  • No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Lexshastra.
